چکیده:
نوآوری و انتقال فناوری یکی از موضوعات موردبحث و چالشبرانگیز در قراردادهای بیع متقابل است تا جایی که برخی ضعف توسعه فناوری در صنعت نفت کشور را به دلیل مدل قراردادی فوق دانسته و مدل قراردادهای نفتی جدید را در پاسخ به این مشکل ارائه نمودهاند. در این تحقیق تلاش شده تا با استفاده از روش تحلیل متن تعهدات کلیدی مرتبط با یادگیری و انتقال فناوری در قراردادهای صنعت نفت شناسایی و با کمک آن قراردادهای بالادستی کشور با یکدیگر مقایسه و دستهبندی شوند. بدین منظور در ابتدا با بررسی پیشینه تحقیق ماهیت و چیستی فناوری در قراردادهای بینالمللی در قالب دو بعد دارایی ملموس با قابلیت انتقال و دارایی غیرملموس و دانش ضمنی با قابلیت یادگیری مشخص گردید. در ادامه با کمک مقالات پیشین و نظر خبرگان تعهدات با ظرفیت یادگیری و انتقال فناوری شناسایی و مدل مفهومی تحقیق طراحی گردید و در نهایت با کمک آن تعداد ۲۹ قرارداد بالادستی نفتی ایران مورد بررسی و تجزیهوتحلیل قرار گرفت. نتایج این تحقیق نشان میدهد تفاوتی بین انواع قراردادهای بالادستی صنعت نفت از منظر ظرفیت یادگیری و انتقال فناوری وجود ندارد. همچنین موضوعات مرتبط با یادگیری و انتقال فناوری از ابتدای تاریخ قراردادهای نفتی ایران موردتوجه بوده است و متناسب با سطح توانمندی کشور تکمیل شده است. مبهم و کلی بودن تعهدات فوق و عدم وجود ضمانت اجرایی مناسب از جمله نقصهایی است که در تمامی مدلهای قراردادی (امتیازی، خدماتی، مشارکتی، بیع متقابل) میبایست موردتوجه قرار گیرد
One of the key issues and challenges discussed in the oil industry is the problem of innovation and technology transfer in buy-back contracts. Some experts believe that the weakness in technology development in the country's oil industry is due to this contractual model and have proposed a new oil contracts model to address this problem. This research aims to identify the key obligations related to learning and technology transfer in the oil industry contracts by using text analysis approach and analyzing the country's upstream contracts. To achieve this goal, we first investigate the nature of technology in international contracts, considering both tangible property with transferability and intangible knowledge. Then, using the opinions of experts and previous research to develop a conceptual model for the research and by using it, then analyzed 29 upstream oil contracts in Iran using this model. The research results indicate that there is no significant difference between the types of upstream contracts in the oil industry in terms of their capacity for learning and technology transfer. However, the vagueness and generality of these obligations, as well as the lack of appropriate performance guarantees, are among the defects that exist in all contract models (concession, service, product sharing, and buy-back) and need to be addressed.
