چکیده:
حقوقدانان در خصوص حکومت مقرره رم یک بر بارنامه دریایی اختلاف نظر دارند.در حقوق انگلستان، در صورت عدم حکومت مقرره رم، قانون حاکم بر اساس قواعد تعارض قوانین کامن لا تعیین می شود.در هر حال چه در مقرره رم یک چه در قواعد تعارض قوانین کامن لا، اصل آزادی اراده طرفین شناسایی شده است. این آزادی براساس مقررات لاهه-ویزبی1968 محدود شده است و قانون منتخب طرفین نمی تواند مسئولیت متصدی حمل را از آنچه در لاهه-ویزبی تعیین شده است تقلیل دهد. در حقوق ایران قانون حاکم بر بارنامه دریایی، بر اساس قواعد تعارض قوانین ایران، قانون محل انعقاد بارنامه است مگر اینکه طرفین خارجی بوده و بر قانون دیگری توافق کرده باشند؛ با اینحال نظر به محدودیتهای اعمال قانون خارجی در ایران، براساس معاهده لاهه 1924 که ایران در سال 1344 به آن پیوسته است طرفین بارنامهای که در یک کشور عضو معاهده لاهه صادر شده باشد (اگرخارجی باشند)، نمی توانند بر قانونی توافق کنند که مسئولیت متصدی حمل را از آنچه در مقررات لاهه تعیین شده است تحدید کند.بارنامه ممکن است حاوی شرط درج باشد که به موجب آن شروط قرارداد اجاره کشتی در بارنامه درج می گردد. در حقوق انگلستان قانون حاکم بر شرط تعیین قانون حاکم مندرج به وسیلهی ارجاع در بارنامه، همان قانونی است که در صورت اعتبار شرط درج، بر بارنامه حاکم خواهد بود. در نظام حقوقی ایران هیچ قاعده حل تعارضی در خصوص قانون حاکم بر شرط قانون حاکم وجود ندارد و قاضی در هر مورد درصدد کشف قصد واقعی طرفین برخواهد آمد.
Lawyers disagree about application of the Rome I to bill of lading .Under English Law, the law applicable is determined according to common law rules in case bills of lading are excluded from the Rome I.Both the Rome I and common law rules recognize the principle of freedom of parties.However, the principle of freedom of parties is restricted under the Hague-Visby Rules and the parties' choice of law could not lessen the liability of the carrier from what provided under the Hague-Visby.Under Iranian Law, the law of the place of conclusion of contract applies to the bills of lading unless the contracting parties are foreign nationals and have subjected their contract to another law.Nevertheless,, considering the restrictions upon the application of foreign law, in accordance with Hague rules to which Iran is a party, parties to a bill of lading issued in a contracting state cannot agree on application of law of other countries which would lessen the liability of carrier from what provided under the Hague Rules.Bill of lading might contain an incorporation clause which incorporates charterparty clauses into bill of lading.Under English Law, the law applicable to the choice of law clause incorporated into bills of lading by reference is the law that is applicable in case of validity of incorporation clause.In Iranian legal system, there is no conflict of laws rule regarding the applicable law to the choice of law clause and courts in each case will seek to discover parties' true intentions.

حقوق انگلستان کنوانسيون رم مصوب ١٩٨٠ ٢ راجع به قانون حاکم بر تعهدات قراردادي کـه از سـال ١٩٩١ قدرت اجرايي پيدا کرده است و جايگزين آن ، يعني مقررة رم يک مصـوب سـال ٢٠٠٨ مـيلادي (مقرره رم يک )،٣ بخـش مهمـي از قواعـد تعـارض قـوانين دادگـاه هـاي انگلسـتان را همچـون دادگاه هاي ساير کشورهاي عضو اتحاديه اروپا تشکيل مي دهند.
